1. Acceptance of these Terms
These Terms of Service ("Terms") are a contract between [LEGAL ENTITY NAME, e.g. "DineCanvas Technologies Private Limited"] ("DineCanvas", "we", "us", "our") and the restaurant business that signs up for the DineCanvas Restaurant Operating System (the "Platform", "Service"), referred to below as "you" or the "Restaurant". By creating an account, starting a trial, or using the Platform, you accept these Terms on behalf of the Restaurant and confirm you're authorized to do so. If you don't agree, don't use the Platform.
Diners who place orders through a Restaurant's DineCanvas-powered ordering page are covered by Section 9 below, not by the account-holder obligations in this Section.
2. What DineCanvas is
DineCanvas is a technology provider. We give restaurants software to run their business — a website and online ordering page, a QR/table ordering experience, a kitchen display system, staff and inventory tools, and reporting. DineCanvas is not a restaurant, is not the seller of the food or beverages ordered through the Platform, and is not a party to the transaction between a Restaurant and its diners. The Restaurant is solely responsible for the food, beverages, pricing, fulfilment, and for complying with all laws that apply to running a food business — see Section 6.
3. Eligibility and your account
To use the Platform, the Restaurant must be a genuine, operating business. We may ask for proof of business (for example, a GST certificate, a shop photo, or a utility bill) before granting access — see our Privacy Policy for how that's used.
Login model. DineCanvas does not use e-mail-and-password logins. Each owner and staff member is issued a DineCanvas access code together with a 6-digit PIN, and both are required to sign in. You're responsible for keeping your access code and PIN confidential and for all activity under your login. If you suspect a compromise, [notify us / use the in-product "forgot access key & PIN" flow] immediately so we can issue you new credentials — a compromised access code and PIN are always reissued together, never as a partial reset.
Owners and staff. The Restaurant owner is responsible for the accuracy of the staff accounts they create, for staff members' access levels, and for deactivating staff who leave. DineCanvas is not responsible for actions taken by a staff account the Restaurant failed to deactivate.
4. Subscription plans, trials, and billing
- DineCanvas is offered on a subscription basis. Current plans and pricing are shown at sign-up and in your dashboard.
- New Restaurants may be offered a free trial period (currently 14 days, no card required to start). [COUNSEL/OPS: confirm final trial length and any conditions before publishing.]
- At the end of a trial, continued use requires an active paid subscription. Today, subscription payment is collected UPI-direct; once automatic billing is live, subscriptions will instead be charged automatically via UPI Autopay/e-mandate that you authorize, and this section will be updated to describe that mandate (amount, frequency, and how to cancel it) before it goes live.
- Fees are billed in advance for the billing period you select and, except where required by law or stated otherwise, are non-refundable.
- If a payment fails or is not made, your account may move through the following states before suspension, so you have time to fix a failed payment: active → payment grace period → past due → suspended. We'll notify you at each stage. A suspended account can typically be reactivated by resolving payment; a cancelled account's data is retained for a limited window (currently 30 days) during which you can export your data or reverse the cancellation, after which it is permanently deleted — see our Privacy Policy, Section 8.
- Taxes: fees are exclusive of applicable taxes (for example GST), which will be added where required by law.
5. Your content
You retain ownership of the content you upload or create using the Platform — your menu, photos, brand description, and business documents ("Restaurant Content"). By uploading Restaurant Content, you grant DineCanvas a licence to host, display, reproduce, and process it solely to operate the Platform for you (for example, showing your menu on your ordering page, or using an uploaded menu photo to generate a digital menu via our AI content provider). You confirm you have the right to upload and use the Restaurant Content you provide, and that it doesn't infringe anyone else's rights.
6. Restaurant responsibilities
You are solely responsible for:
- The accuracy of your menu, prices, descriptions, and allergen/ingredient information.
- Food safety, hygiene, and quality, and for holding and maintaining any licences required to operate, including your FSSAI licence/registration and any local municipal or health permits. DineCanvas does not verify or guarantee your compliance with these requirements.
- Fulfilling orders placed through the Platform, and handling diner complaints, refunds, and disputes about food, service, or fulfilment.
- Complying with consumer protection, food-labelling, weights-and-measures, and tax laws that apply to your business.
- Setting your own prices, offers, and any discounts shown to diners.
7. Acceptable use
You agree not to: use the Platform for any unlawful purpose; misrepresent your business or upload false verification documents; attempt to access another Restaurant's data or accounts; interfere with or disrupt the Platform's operation (including attempting to bypass rate limits, scrape data, or reverse-engineer the software); use the Platform to send unsolicited marketing to diners who haven't opted in; or upload content that is unlawful, infringing, or harmful to others.
8. Third-party services
The Platform integrates with third-party services to provide certain features — for example WhatsApp Business Platform (Meta) for order and marketing messages where you connect it, payment processors for order and subscription payments, and food-delivery platforms you choose to connect (see Section 10). Your use of those integrations may also be subject to that provider's own terms, and DineCanvas isn't responsible for those third parties' acts, omissions, or availability.
9. Diners
Diners use a Restaurant's DineCanvas-powered ordering page or table QR code to browse a menu and place orders directly with that Restaurant. The contract for the sale of food and beverages is between the diner and the Restaurant, not with DineCanvas. DineCanvas provides the ordering technology and, where applicable, facilitates order-status messaging and payment collection on the Restaurant's behalf. Questions, complaints, or refund requests about an order should go to the Restaurant. Diners' personal data is handled as described in our Privacy Policy.
10. Delivery platform integrations
Where a Restaurant connects a third-party delivery platform (for example Swiggy) through the Platform, DineCanvas ingests order data from that platform's API under the terms of DineCanvas's own agreement with that platform, subject to that platform's availability and API limits. [Where a platform (for example, Zomato) does not currently offer Restaurants API access, DineCanvas provides a manual tagging tool that lets Restaurant staff mark an order as originating from that platform for reporting purposes; this is a record-keeping convenience only and does not create any integration with, or data exchange with, that platform.] DineCanvas is not responsible for a delivery platform's order accuracy, fees, or courier service — those remain between the Restaurant and the delivery platform.
11. Suspension and termination
We may suspend or terminate access to the Platform if: your subscription payment fails and remains unresolved through the stages in Section 4; you breach these Terms; we reasonably believe your account poses a security, fraud, or legal risk; or you ask us to close your account. You may cancel your subscription at any time from your dashboard [or by contacting us], effective at the end of your current billing period unless stated otherwise. On closure, your data is handled per the retention and deletion process described in Section 4 and in our Privacy Policy.
12. Disclaimers
The Platform is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Platform will be uninterrupted or error-free. We make no warranty about the quality, safety, or legality of any food or beverage sold by a Restaurant — that responsibility sits entirely with the Restaurant under Section 6.
13. Limitation of liability
To the maximum extent permitted by law, DineCanvas will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising from your use of the Platform. [COUNSEL: confirm an appropriate liability cap for the Indian market — e.g. fees paid in the preceding 12 months — and any carve-outs, before publishing.] Nothing in these Terms limits liability that cannot be limited under Indian law.
14. Indemnification
You agree to indemnify and hold DineCanvas harmless from claims, damages, and expenses (including reasonable legal fees) arising from: your breach of these Terms; your Restaurant Content; your non-compliance with food safety, licensing, or other laws applicable to your business; or a dispute between you and a diner or a third-party platform you've connected.
15. Changes to the Platform and these Terms
We may update the Platform's features over time and may update these Terms. We'll post the revised Terms here with an updated "Last updated" date, and where a change is material, we'll take reasonable steps to notify you directly (for example, a dashboard notice or e-mail to your recovery address) before it takes effect.

17. Governing law and dispute resolution
These Terms are governed by the laws of India. [COUNSEL: confirm dispute-resolution mechanism — arbitration vs. courts — and venue/seat.] Subject to that, any disputes are subject to the exclusive jurisdiction of the courts in [CITY], India.
18. General
If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms, together with our Privacy Policy, are the entire agreement between you and DineCanvas regarding the Platform. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
